Small Business Relief under Article 21 of the Corporate Tax Law lets a Resident Person elect to be treated as having no Taxable Income for a Tax Period, provided its Revenue in the current and all previous Tax Periods does not exceed AED 3 million and other prescribed conditions are met. Electing means Chapter Seven (Exempt Income), Chapter Eight (Reliefs), Chapter Nine (Deductions), Tax Loss relief and Article 55 provisions do not apply, and any Tax Losses in that period cannot be carried forward.123

What the law says

  • Article 21(1) of the Corporate Tax Law allows a Resident Person to elect no Taxable Income where Revenue stays below a Ministerial threshold and other conditions are met.2
  • Ministerial Decision No. 73 of 2023 sets that threshold at AED 3,000,000 per Tax Period, applying to Tax Periods from 1 June 2023 through those ending on or before 31 December 2026.1
  • Electing the relief switches off Exempt Income, Reliefs, Deductions, Tax Loss relief and Article 55, and any Tax Losses from that period cannot be carried forward.23

What it depends on

  • The relief is only available if Revenue never exceeded AED 3 million in the relevant or any previous Tax Period.1
  • The relief is unavailable for Tax Periods ending after 31 December 2026.1

For the purposes of the Small Business Relief referred to in Article 21 of the Corporate Tax Law (“Small Business Relief”), the Taxable Person’s Revenue threshold for the relevant Tax Period and previous Tax Periods shall be AED 3,000,000 (three million dirhams) for each Tax Period. 2. A Taxable Person that is a Resident Person may elect to be treated as not having derived any Taxable Income for a Tax Period where: a. the Revenue of the Taxable Person for the relevant Tax Period and previous Tax Periods does not exceed a threshold to be set by the Minister; and b. the Taxable Person meets all other conditions prescribed by the Minister. 2. Where an election to apply the Small Business Relief is made in a Tax Period, any Tax Losses incurred in such Tax Period cannot be carried forward to any subsequent Tax Periods. 2.     The rules on Exempt Income therefore do not apply to businesses that elect for Small Business Relief.24 More information on the treatment of Exempt Income when electing for Small Business Relief can be found in Section 5.3. How to elect for Small Business Relief Eligible Taxable Persons that meet the conditions for Small Business Relief and wishing to benefit from Small Business Relief must first register for Corporate Tax. Then they must make an election in their Tax Return in order to benefit from the relief. This election must be made for each Tax Period that a Tax Return is filed in order for the relief to apply for that Tax Period.
